1. Acceptance of Terms
By browsing our website or contracting and using our automation and chatbot services, you agree to fully comply with these Terms of Service. If you do not agree to any of the conditions set forth, you must not use our platform or services.
2. Usage Rules for Chatbot Services
Our chatbot services are intended strictly for commercial use. The client agrees to: (a) not send unsolicited messages (spam); (b) not use automation for fraudulent activities, distributing viruses, or malicious content; (c) respect the terms and policies of integrated messaging platforms (such as Meta Business Policy and WhatsApp Business API Policy); (d) obtain prior consent from end-users before sending messages.
3. Integration with Third-Party APIs and Platforms
Our systems function integrated with official third-party APIs, such as Meta Platforms, Inc.'s WhatsApp Business API. The client acknowledges that availability, extra carrier fees, or account suspensions resulting from violating the rules of third-party platforms are the sole responsibility of the client, and Ayos Software holds no liability in these scenarios.
4. Intellectual Property
All website content, algorithms, chatbot logic flows, dashboard source code, trademarks, logos, and promotional materials developed by Ayos Software are protected by copyright and intellectual property laws. Copying, modifying, distributing, or reverse engineering our technology without express authorization is prohibited.
5. Limitation of Liability
To the maximum extent permitted by law, Ayos Software shall not be liable for any indirect damages, loss of profits, loss of revenue, data, or failures caused by the unavailability of carrier APIs or platforms like Meta Platforms, Inc.
6. Termination and Account Suspension
We reserve the right to suspend or terminate access to our chatbot systems immediately in the event of a severe violation of these terms of service, usage of mass spamming techniques, or illegal conduct, without prejudice to any outstanding contractual payments.
7. Governing Law and Jurisdiction
These terms are governed by the laws of the Federative Republic of Brazil. To resolve any legal dispute arising from this document, the court of the city of Florianópolis, SC, is exclusively elected.
